TERMS OF USE

These Terms of Use ("Terms") are based on the online shop service [ZANE ARTS Official Online Store] ("Service'') operated by ZANE ARTS, Inc. ("ZANE ARTS", "Company"). Users must use this service in accordance with these Terms. When a user starts using this service, the user is deemed to have agreed to these terms, so please read them before using the service.

1. Application

(1) These Terms shall apply to all relationships between users and the Company regarding the use of this Service. In addition, in these Terms, "User" refers to anyone who accesses this Service, regardless of whether or not they have registered for use.

(2) If ZANE ARTS sends out rules ("Conditions", "Additional Provisions") regarding the Service by instructions, notes, or any other information displayed on the screen of the Service, or by e-mail, etc., these Terms and Conditions shall apply. Unless they are contrary to the purpose of this Terms, Additional Provisions shall form part of these Terms. In the event that any additional provisions conflict with the provisions of these Terms, the additional provisions shall take precedence.

2. User Registration

(1) In order to purchase products in this Service, you can use both registration purchase and guest purchase. Users who wish to register shall apply for registration according to the method specified by ZANE ARTS, and registration will be completed when ZANE ARTS notifies the applicant of approval. ("Registered users")

(2) If ZANE ARTS determines that the applicant has any of the following reasons, the Company may not approve the application for user registration, and shall not be obligated to disclose any of the reasons.

  • If the application for user registration contains false or inaccurate information.
  • If the applicant has violated these Terms in the past or has been subject to disciplinary action such as usage restrictions or cancellation of usage registration.
  • The applicant is a member of an organized crime group, a member of an organized crime group, a quasi-member of an organized crime group, a racketeer, a social activist, a special intelligence violent group, or other similar anti-social forces ("anti-social forces, etc.") Or if it turns out to be a corporation, etc. whose management is substantially involved in anti-social forces, etc.
  • In other cases where the Company determines that the registration for use is inappropriate.

(3) If there is a change in the registered information, the registered user shall be obligated to immediately take steps to change the registered information by the prescribed method determined by the Company.

3. User ID and Password

(1) Registered users shall, at their own risk, manage the user ID and password for this Service as well as the communication devices used to access this Service.

(2) Registered users may not transfer or lend their user ID and password to a third party, or share them with a third party under any circumstances. If the user ID and password combination matches the registered information and the user logs in, ZANE ARTS will assume that the user ID is being used by the registered user himself/herself.

(3) ZANE ARTS shall not be responsible for any damage caused by the use of the user ID, password, or communication device by a third party, unless there is intentional or gross negligence on the part of the Company.

(4) If there is a risk that the user ID and password or communication device may be used by a third party, the Registered user shall immediately notify the Company and comply with the Company's instructions, if any.

4. Sales Contract

(1) In this Service, a sales contract is established when the user makes a purchase application and ZANE ARTS notifies that the application has been accepted.

(2) If the user falls under any of the following reasons, ZANE ARTS may cancel the sales contract established pursuant to the preceding paragraph without prior notice or expression of intent. Furthermore, ZANE ARTS shall not be liable for any disadvantages or damages incurred by registered users or other third parties as a result of cancellation.

  • If the payment is not made by the specified payment date
  • If it is difficult to deliver the product due to lack of stock or shipping difficulties, etc.
  • If the Company determines that the User has violated or is likely to violate these Terms.
  • If there is an error in the display made by our company regarding the price and features of this product.
  • If the delivery of the product is not completed due to reasons such as unknown delivery address, long-term absence, refusal to receive the product, etc.
  • In other cases where the Company determines that it is necessary to cancel the sales contract.

(3) Ownership of the object of the sales contract established pursuant to paragraph 1 and the risk of loss or damage shall be transferred to the user when the Company delivers the product to the carrier company.

(4) ZANE ARTS shall not return or exchange products unless otherwise specified by the Company.

5. Liability for Non-conformity to Contract

(1) ZANE ARTS shall not be held responsible for any damages caused to the user due to non-conformance of the product purchased by the user that cannot be discovered through inspection at the time of shipment, except in the cases stipulated in the following paragraph.

(2) Within 7 days from the day the user receives the product, ZANE ARTS receives notification of the existence of non-conformity to the contract by the method specified by the Company, and determines that the non-conformity to the contract existed from the time of shipment. In this case, we will take measures we deem appropriate, such as returning the product, providing a replacement product, or compensating for damages within the limit of the purchase price.

6. Intellectual Property Rights

Copyrights of descriptions, product photos, and all other content ("Contents") regarding products provided on this Service, as well as trademark rights and other copyrights related to product names, etc. posted on this Service. All intellectual property rights related to the Service belong to the legitimate rights holders such as our company and licensors. Users may not use these intellectual property rights beyond the scope permitted by this service, such as copying, reprinting, modifying, or other secondary use without permission.

7. Prohibitions

Users shall not engage in the following acts when using this service.

  • Acts that violate laws, ordinances, court judgments, decisions, or orders, or legally binding administrative measures, or acts that encourage or are likely to do so.
  • Fraudulent or threatening acts against the Company, other users, or other third parties.
  • Acts that violate public order and morals or that may harm good morals.

  • Acts of using macros or functions or tools that automate operations, etc.
  • Acts of commercially using information obtained through this service
  • Acts that damage the credibility of our company or this service, or that are likely to do so.
  • Acts that interfere with the operation of our services or acts that are likely to do so.
  • Acts that may have a negative impact on the mind and body of young people and their healthy development.
  • Acts of collecting, storing, or otherwise utilizing personal information, etc. about other users
  • Acts of impersonating another user by using the account of another registered user or by other methods
  • Acts that directly or indirectly provide benefits to antisocial forces in connection with our services.
  • Acts where a minor uses this service without the consent of a legal representative.
  • Acts where an adult ward, person under curatorship, or person under assistance uses this service without the consent of the adult guardian, curator, assistant, etc.
  • Other acts that our company deems inappropriate.

8. Suspension of Provision of this Service

(1) If ZANE ARTS determines that any of the following events has occurred, the Company may suspend the provision of all or part of the Service without prior notice to the user.

  • When performing maintenance or repair of hardware, software, communication equipment, etc. related to the provision of this service.
  • When the load is concentrated on the system due to excessive access or other unexpected factors.
  • If it becomes difficult to provide this service due to an unexpected accident, earthquake, lightning strike, fire or other natural disaster, power outage, war, conflict, upheaval, riot, labor dispute or other force majeure.
  • When it becomes necessary to ensure user security.
  • If the telecommunications carrier's services are not provided.
  • If the operation of this service becomes difficult due to laws or regulations or measures based on them.
  • In other cases where the Company deems it necessary pursuant to the previous item.

(2) ZANE ARTS shall not be liable for any disadvantage or damage suffered by the user or any third party due to the measures taken by the Company pursuant to this article, regardless of the reason.

9. Restrictions on Use and Cancellation of User Registration

(1) If any of the following apply, ZANE ARTS may restrict the user from using all or part of the Service or cancel the user's registration without prior notice.

  • If the user violates these Terms.
  • If it is discovered that the information provided by the user on this service is false.
  • If there is a default in obligations owed by the user, such as payment of purchase price.
  • When the Company determines that necessary communication cannot be made with the user, such as when there is no response for a certain period of time to the Company's communications.
  • In other cases where the Company determines that it is inappropriate for the user to use this Service.

(2) ZANE ARTS shall not be liable for any disadvantage or damage incurred by the user or any third party due to the measures taken by the Company pursuant to the preceding paragraph, regardless of the reason.

10. Withdrawal

Registered users may withdraw from this Service by following the withdrawal procedures prescribed by the Company, and will be withdrawn from the Service on the day the withdrawal procedures are completed.

11. Warranty Disclaimer

(1) ZANE ARTS guarantees that the Service or the content and other information provided through the Service are suitable for the specific purposes of the user, have the expected functionality, commercial value, accuracy, usefulness, and completeness; We do not guarantee that the use of this Service will comply with laws and regulations applicable to users or internal rules of industry organizations, and that there will be no defects (including security defects, errors, bugs, rights infringement, etc.).

(2) ZANE ARTS does not guarantee the quality, materials, functions, performance, compatibility with other products, or fitness for purpose of the product in the product sales contract, unless otherwise specified by the Company.

(3) ZANE ARTS does not guarantee that products will always be in stock.

(4) ZANE ARTS does not guarantee that the product will be delivered on the scheduled delivery date notified by the Company.

(5) ZANE ARTS does not guarantee that the Service will operate normally in the user's environment.

(6) ZANE ARTS is not responsible for any damage caused to the user due to this Service. However, if the contract between the Company and the user regarding this Service (including these Terms) becomes a consumer contract as stipulated in the consumer contract act, this disclaimer will not apply. However, the Company will not cover damages caused to the user due to default or illegal acts due to the Company's negligence (excluding gross negligence), including damages caused by special circumstances (that the Company or the user did not foresee or foresaw the occurrence of the damage). We are not responsible for any damages incurred.

(7) ZANE ARTS is not responsible for any transactions, communications, or disputes that occur between users and other users or third parties regarding this Service.

12. Changes to Service Content, etc.

ZANE ARTS may change the content of the Service or discontinue the provision of the Service without notifying the user, and shall not be responsible for any damage caused to the user as a result.

13. Changes to Terms of Use

If ZANE ARTS deems it necessary, the Company may change these Terms at any time without notifying the user. If the user starts using the Service after the Terms have been changed, the user will be deemed to have agreed to the changed Terms.

14. Handling of Personal Information

ZANE ARTS shall appropriately handle personal information obtained through the use of this Service in accordance with the Company's designated "Privacy Policy."

15. Contact / Notification

(1) Notifications regarding changes to these Terms and other notifications from the Company to users regarding the Service shall be made by posting in appropriate locations on the Company's website, sending e-mails, or other methods deemed appropriate by the Company.

(2) Inquiries regarding this Service and other communications or notifications from users to the Company shall be made by sending to the inquiry form on the ZANE ARTS website or by other methods specified by the Company.

16. Separability

Even if any provision or part of these Terms is determined to be invalid or unenforceable under the consumer contract act or other laws and regulations, the remaining provisions of these Terms and any part thereof shall be invalid or unenforceable. The remaining portions of the provision that are determined to be unenforceable will remain in full force and effect, and the Company and the user will use the provisions to the extent necessary to make the invalid or unenforceable provision or portion lawful and enforceable. ZANE ARTS will endeavor to amend the invalid or unenforceable clause or part so that it has the same legal and economic effect as the invalid or unenforceable clause or part.

17. Governing Law / Jurisdiction

(1) These Terms and the sales contract established for this Service shall be governed by and interpreted in accordance with Japanese law. Please note that the application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from sales contracts concluded through this Service.

(2) In the event of a dispute regarding this Service, the Tokyo District Court shall have exclusive jurisdiction.
